Every company that wants to go public in the US must first register with the SEC - US companies file an S-1, foreign companies an F-1, and the final priced prospectus arrives as a 424B4 just before shares trade. This tracker lists 2,996 registration filings, newest first, parsed directly from SEC EDGAR. Companies in registration usually have no ticker yet; tickers appear once assigned.

How to read this list

An S-1 is the first public look at a private company - financials, risk factors, and how it plans to use the money. Most companies amend the registration several times (S-1/A) as the SEC reviews it and terms firm up. When you see the final priced prospectus (424B4), the IPO is days or hours away. Once a company starts trading you can follow it in the market cap rankings with full financial statements and filing history.
